ProAgent Me Terms of Service

ProAgentMe.com is a product of Telos Technologies LLC, a Virginia limited liability company ("Telos Technologies," "ProAgent Me," "we," "us," or "our"). These Terms of Service ("Terms") form a legally binding agreement between you and Telos Technologies governing your access to and use of the ProAgent Me platform, including the website, marketplace, AI agents, human-expert escalation, creator tools, and related services (collectively, the "Platform").

Please read these Terms carefully. By accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Platform.

This version reflects ProAgent Me's revenue-share model, under which compensation for AI answers is paid through a monthly AI Creator Pool rather than a fixed per-message share (Section 11).

1. Definitions

Client — a user who browses the marketplace, converses with AI agents, and may pay to escalate to a human expert.
Creator — a user, accepted by invitation, who builds AI agents trained on their expertise and may offer Paid Sessions.
Agent — an AI assistant published by a Creator on the marketplace.
Paid Session — a paid, asynchronous human-expert session that a Client initiates by escalating from an Agent.
Subscription — a Client's monthly plan (Free, Starter, Professional, or Enterprise) that governs AI usage limits.
AI Creator Pool — the monthly pool from which Creators are compensated for AI answers, defined in Section 11.5.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Platform. You are responsible for the activity under your account and for keeping your credentials secure. Authentication is provided through our identity provider; you agree to its terms as part of signing in. You agree to provide accurate information and to keep it current.

3. The Platform and AI agents

Agents are AI systems trained on Creator expertise. Their answers are informational and are not a substitute for professional advice. Each Agent is built by a named, accountable professional and is designed to recognize when a matter needs human judgment and to recommend escalation. You are responsible for how you use Agent answers. ProAgent Me does not guarantee that any answer is accurate, complete, or fit for a particular purpose.

4. Client subscriptions and billing

Subscriptions are billed monthly through our payment processor. Each plan includes a set number of conversations per month and a set number of messages per conversation; current limits are published on our pricing page and are enforced as hard limits. When you reach a limit, you may upgrade or wait until your next monthly period. Unused conversations and messages do not roll over. Plans renew automatically until cancelled; you may cancel at any time from billing settings, and access continues through the end of the current period. Fees are non-refundable except as required by law or as expressly stated in these Terms.

5. Human-expert escalation (Paid Sessions)

Every plan, including Free, may escalate a conversation to the human Creator behind an Agent for a direct reply. You pay a one-time flat fee per session, set by the Creator (minimum $5, maximum $500), charged at the moment you escalate. 48-hour guarantee: if the Creator does not respond within 48 hours of your payment, the full session fee is automatically refunded to your original payment method. Paid Sessions do not consume your Subscription allowance.

6. Creator participation

Creators participate by invitation and must accept the Creator Agreement before publishing an Agent. Creators are independent contractors, not employees or agents of ProAgent Me. Creators must complete Stripe Connect onboarding, including identity verification and tax documentation, before receiving payouts. Creators are responsible for the accuracy of their Agents, for appropriate disclaimers, and for their conduct in Paid Sessions.

7. Creator content and knowledge protection

Creators retain ownership of the expertise and materials they provide ("Creator Content"). ProAgent Me makes the following commitments, which are contractual, not merely aspirational: (a) we will not use Creator Content to train our own foundation models; (b) we will not share Creator Content with other creators or sell it to third parties; (c) Creators may delete their content at any time, and we honor deletion within 30 days; and (d) Client queries are processed by our AI infrastructure provider under contractual terms that prohibit using that data to train its models.

8. Intellectual property

The Platform, including its software, design, and trademarks, is owned by Telos Technologies and protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Platform. You may not copy, modify, reverse-engineer, scrape, or create derivative works of the Platform, or attempt to extract a Creator's underlying training materials, except as expressly permitted.

9. Acceptable use

You agree not to use the Platform to: violate any law; infringe others' rights; attempt to extract, reconstruct, or resell a Creator's proprietary knowledge; probe, attack, or disrupt the Platform; submit malicious code; or misrepresent your identity. We may suspend or terminate accounts that violate these Terms.

10. Disclaimers

The Platform and all Agent answers and Paid Session responses are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Agent answers are informational and are not legal, financial, medical, or other professional advice, and no professional relationship is formed by using an Agent. You should obtain independent professional advice before acting on any answer.

11. Creator compensation

Creators earn through two streams: Paid Sessions (Section 11.1) and the AI Creator Pool (Section 11.5).

For each Paid Session, the Creator earns their Revenue Share of the session price, net of payment-processing fees, paid through Stripe Connect. A Creator's Revenue Share is the percentage assigned at the time of their invitation and shown in their dashboard. ProAgent Me will not reduce a General-tier Creator's Paid Session Revenue Share percentage except on at least 90 days' advance notice given under Section 21's notice mechanism.

11.2 Payouts

All Creator payouts are made through Stripe Connect. ProAgent Me does not hold Creator funds. Creators are responsible for their own taxes; Stripe is the payer of record for U.S. tax-reporting purposes and issues any required tax forms.

11.5 AI Creator Pool

Compensation for AI answers is paid through a monthly AI Creator Pool, not as a fixed percentage of each message.

11.5.1 Definitions. For each calendar month:

Net Subscription Revenue (NSR) means subscription payments collected during the month, less payment-processing fees actually charged on those payments and less refunds of those payments.
Direct AI Costs (DAC) means the costs reasonably attributable to processing AI answers during the month, including third-party AI model usage and the directly allocable infrastructure cost of delivering those answers.
Pool Percentage means the percentage applied to determine the Pool, which is 70% as of the effective date of these Terms.

11.5.2 Calculation and distribution. The Pool for a month equals (NSR − DAC) × the Pool Percentage, and is never less than zero. The Pool is divided among participating Creators in proportion to the number of agent answers each Creator's Agents delivered during the month, so that each Creator's share equals the Pool amount × (that Creator's answers ÷ total answers for the month). Distributions are made through Stripe Connect after the monthly period is finalized. ProAgent Me does not guarantee any minimum Pool or any minimum individual share.

11.5.3 Changes to the Pool Percentage. ProAgent Me may change the Pool Percentage on at least 90 days' advance notice given under Section 21's notice mechanism. Any change that would reduce the Pool Percentage below a floor of 50% requires at least 180 days' advance notice.

11.5.4 Monthly transparency report. For each finalized month, ProAgent Me publishes a transparency report that discloses, in aggregate: (a) total subscription revenue (gross); (b) payment-processing fees and refunds deducted; (c) Net Subscription Revenue; (d) Direct AI Costs; (e) the Pool Percentage applied; (f) the Pool amount distributed; and (g) the total number of agent answers and the number of participating Creators. Individual Creator shares are private and are shown to each Creator in their own dashboard.

11.5.5 Audit right. A Creator may request a written explanation of any line item in a finalized Pool period within 90 days of its finalization, and ProAgent Me will respond within 30 days. ProAgent Me retains the underlying inputs to each Pool calculation for at least seven years so that any Pool period can be reproduced and explained on request.

12. Limitation of liability

To the maximum extent permitted by law, Telos Technologies and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Platform. Our total liability for any claim relating to the Platform will not exceed the greater of the amounts you paid to us in the 12 months before the claim or USD $100.

13. Indemnification

You agree to indemnify and hold harmless Telos Technologies and its affiliates from any claims, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your violation of these Terms or applicable law.

14. Term and termination

These Terms remain in effect while you use the Platform. You may stop using the Platform at any time. We may suspend or terminate access for violation of these Terms or to comply with law. Amounts already earned by a Creator remain payable, subject to verification and applicable law. Provisions that by their nature should survive — including Sections 7, 8, 10, 11.2, 11.5.5, 12, 13, and 22 — survive termination.

15. Modifications to these Terms

We may update these Terms. For material changes, we will provide at least 30 days' advance notice by email and by an in-app notice before the change takes effect, and we will publish the updated Terms with a new Effective Date. Prior versions remain available through the version history. If you continue to use the Platform after a change takes effect, you accept the updated Terms. (This Section is referred to elsewhere as "Section 21.")

21. Notice of changes

Where these Terms require advance notice of a change (Sections 11.1, 11.5.3, and 15), ProAgent Me gives that notice by email to affected Creators and by an in-app banner, no later than the required number of days before the change's effective date. The email and in-app publication are the notice of record; acknowledgment is requested but is not required for a notice to be effective.

22. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules. The state and federal courts located in Virginia have exclusive jurisdiction over disputes arising from these Terms, and you consent to that jurisdiction and venue, except where applicable law provides otherwise.

Schedule A — Legal Vertical

This Schedule applies to Agents and Creators in the Legal vertical, in addition to the Terms above. Agents in the Legal vertical provide legal information, not legal advice, and do not create an attorney-client relationship. Legal-vertical Creators are responsible for ensuring their Agents and Paid Sessions comply with the rules of professional conduct and unauthorized-practice-of-law rules of every jurisdiction in which they hold themselves out, and must include jurisdiction and scope disclaimers appropriate to their practice. ProAgent Me does not provide legal services and is not a law firm or lawyer-referral service. Additional Legal-vertical terms may be published as addenda to this Schedule.
